These Terms of Service ("Terms") govern your use of the NeuroMatic AI platform, website, and services (collectively, the "Services") provided by NeuroMatic AI ("NeuroMatic," "we," "us," or "our"). By accessing or using our Services, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing our website or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using our Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

If you do not agree with any part of these Terms, you must not use our Services.

2. Service Description

NeuroMatic provides an AI-powered voice reception platform designed for healthcare practices. Our Services include:

  • AI voice agent for answering and managing patient phone calls 24/7
  • Automated appointment scheduling and confirmation
  • Patient inquiry handling and call routing
  • Call analytics and reporting dashboard
  • Integration with practice management systems and EHRs

We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time with reasonable notice.

3. Free Pilot Terms

NeuroMatic offers a free 30-day pilot program to eligible healthcare practices. The following terms apply to the pilot:

  • The pilot period begins on the date your AI voice agent is activated and lasts for 30 calendar days.
  • During the pilot, you will receive full access to our core Services at no charge.
  • No credit card or payment information is required to start the pilot.
  • At the end of the pilot period, you may choose to subscribe to a paid plan or discontinue use. There is no obligation to continue.
  • We reserve the right to limit pilot availability or modify pilot terms at any time.

4. Payment Terms

For paid subscriptions following the pilot period:

  • Subscription fees are billed monthly in advance based on your selected plan.
  • All fees are quoted in US dollars and are exclusive of applicable taxes.
  • Payment is due upon receipt of invoice. Late payments may result in suspension of Services.
  • We reserve the right to adjust pricing with 30 days advance written notice.
  • Refunds are handled on a case-by-case basis at our discretion.

5. HIPAA & Compliance

NeuroMatic is committed to maintaining HIPAA compliance in all aspects of our Services:

  • We execute a Business Associate Agreement (BAA) with every healthcare client prior to processing any protected health information (PHI).
  • All PHI is encrypted using industry-standard 256-bit encryption both in transit and at rest.
  • We maintain administrative, physical, and technical safeguards as required by the HIPAA Security Rule.
  • Our team undergoes regular HIPAA compliance training.
  • You are responsible for ensuring that your use of our Services complies with all applicable healthcare regulations and your own compliance obligations.

6. Intellectual Property

All intellectual property rights in the Services, including but not limited to software, algorithms, user interfaces, trademarks, and documentation, are and shall remain the exclusive property of NeuroMatic AI.

  • You are granted a limited, non-exclusive, non-transferable license to use the Services for the duration of your subscription.
  • You may not copy, modify, distribute, reverse engineer, or create derivative works based on our Services.
  • Your practice data and patient information remain your property. We claim no ownership over data you provide to or generate through our Services.
  • Feedback and suggestions you provide may be used by us to improve our Services without any obligation to you.

7. Limitation of Liability

To the maximum extent permitted by applicable law:

  • NeuroMatic shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities.
  • Our total liability for any claims arising out of or related to these Terms or the Services shall not exceed the total fees paid by you to NeuroMatic in the twelve (12) months preceding the claim.
  • The Services are provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
  • NeuroMatic does not provide medical advice. Our AI voice agent facilitates administrative tasks and should not be relied upon for clinical decision-making.

8. Termination

Either party may terminate the service agreement under the following conditions:

  • You may cancel at any time by providing 30 days written notice to our team. No cancellation fees apply.
  • Upon termination, we will securely delete or return your data within 30 days, unless legal retention requirements apply.
  • We may terminate or suspend your access to the Services immediately if you breach these Terms, fail to make timely payments, or use the Services in a manner that could harm NeuroMatic or other users.
  • Provisions that by their nature should survive termination (including intellectual property, limitation of liability, and governing law) shall survive.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms or the Services shall be resolved in the state or federal courts located in Miami-Dade County, Florida. Both parties consent to the exclusive jurisdiction of such courts.

10. Changes to These Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website with a revised "Last updated" date. Your continued use of the Services after such changes constitutes acceptance of the updated Terms.
